According to section 474 of the Companies Ordinance (Cap. 622 of the Laws of Hong Kong), the company secretary of a Hong Kong limited company must be a Hong Kong resident or body corporate aged 18 or above ordinarily resident in Hong Kong, and section 475 also stipulates that if the company has only one director, the director cannot also be the company secretary.<\/p>\n

The company secretary is responsible for arranging meetings, preparing the company’s minutes, filing annual returns, and ensuring that the company complies with the relevant laws and regulations. Under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 622 of the Laws of Hong Kong), it is an offence for any person to carry on a trust or company services business in Hong Kong without a licence.
